Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at solsti.ai and the related services, tools, and communications (collectively, the "Services") provided by CS Weston & Companies LLC, doing business as Solsti.ai ("Solsti.ai," "we," "us," or "our"), a Utah limited liability company.

By accessing the Services, submitting a form, scheduling a call, engaging our consulting services, or otherwise interacting with us, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Solsti.ai provides business advisory and implementation services, which may include: artificial intelligence consulting, AI and workflow automation, CRM implementation and management, Google Business Profile optimization, local SEO, website design and development, marketing technology, AI strategy, software integrations, and general business consulting.

The specific scope, deliverables, timeline, and fees for engagement-based services are described in a separate written proposal, statement of work, or order form agreed to by you and Solsti.ai. In the event of a conflict between these Terms and a signed statement of work, the statement of work controls for that engagement.

You must be at least 18 years old and authorized to act on behalf of the business you represent. You agree to provide accurate information, to use the Services lawfully, and not to interfere with, disrupt, or attempt to gain unauthorized access to the Services or any related systems.

You are responsible for maintaining the confidentiality of any credentials shared with you and for all activity that occurs under your account or with your authorization.

The Solsti.ai name, logo, website content, documentation, methodologies, playbooks, templates, and software are owned by CS Weston & Companies LLC or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from our materials.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. Deliverables produced during a paid engagement are licensed or assigned as described in the applicable statement of work.

Content on our website (including case studies, benchmarks, and industry examples) is provided for general informational purposes. Results referenced in case studies reflect the experience of specific clients and are not a promise or guarantee that any other business will achieve similar outcomes.

Our Services may use AI models, including third-party AI providers, to generate suggestions, drafts, chat responses, and other output. AI output may contain errors, omissions, or biases and should be reviewed before use. AI output is informational only and is not legal, financial, tax, medical, or other professional advice.

You are responsible for reviewing AI output and for any decisions made based on it. Do not submit sensitive personal information, protected health information, payment card data, government identifiers, or trade secrets to our chat or AI tools unless we have expressly agreed in writing to handle that category of data.

By providing your contact information, you consent to receive transactional communications from Solsti.ai, including appointment confirmations, reminders, service updates, and replies to your inquiries, via email or phone. SMS/MMS text messages are sent only after a separate opt-in as described in the SMS Terms and Conditions section below.

Marketing communications require separate opt-in and may be withdrawn at any time.

By separately opting in to receive SMS or MMS communications from Solsti.ai, you agree to receive text messages from CS Weston & Companies LLC, doing business as Solsti.ai.

Messages may include responses to inquiries, consultation scheduling, appointment confirmations and reminders, customer support communications, service updates, account notifications, and other communications you request or expressly authorize.

Message frequency varies. Message and data rates may apply.

Reply STOP to any message to unsubscribe. After submitting STOP, you may receive one final message confirming your opt-out. Reply HELP for assistance, email team@solsti.ai, or call (801) 876-2363.

Consent to receive text messages is not a condition of purchasing any product or service. You may still submit an inquiry or request services without agreeing to receive SMS marketing messages.

Mobile carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by the user's carrier and network provider.

Discovery calls, strategy sessions, and consultations may be scheduled through our online scheduler. Please provide at least 24 hours' notice to reschedule or cancel. Repeated no-shows or last-minute cancellations may result in a request to prepay for future sessions or a decision not to continue with an engagement.

For paid engagements, cancellation and rescheduling terms specific to that engagement are set out in the applicable statement of work.

The Services integrate with third-party platforms including GoHighLevel, Supabase, Cloudflare, Google (Workspace, Analytics, Tag Manager, Business Profile, Ads), Meta, and other tools that may change over time. Your use of those platforms is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

Fees, invoicing schedule, and accepted payment methods for a specific engagement are described in the applicable proposal or statement of work. Unless otherwise stated, invoices are due upon receipt in U.S. dollars. Past-due balances may accrue interest at the lesser of 1.5% per month or the maximum allowed by law, and we may pause work until amounts are current.

Unless a specific refund is stated in a signed statement of work, fees for services rendered are non-refundable. Prepaid fees for work not yet performed may be refundable at our discretion or as required by law.

We work to keep the Services available but do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue any part of the Services at any time, including for maintenance, security, or business reasons.

Results vary. Every business is different. We do not guarantee any specific outcome, including search rankings, traffic levels, lead volume, conversion rates, revenue, or business growth. Recommendations are advisory, and you remain responsible for your business decisions and their consequences.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SOLSTI.AI OR CS WESTON & COMPANIES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless CS Weston & Companies LLC and its owners, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content or materials, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles. The exclusive venue for any dispute arising out of or related to these Terms or the Services is the state or federal courts located in Morgan County or Salt Lake County, Utah, and you consent to personal jurisdiction there.

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
